An application submitted to the Competition Authority records requested the authorization of the acquisition, via share transfer, of sole control over TYG Turkey Elektronik Ticaret Hizmetleri ve Yatırımları AŞ (TRENDYOL GO) and its subsidiaries by Uber Holding B.V. (UBER HOLDING), which is under the control of UBER Technologies, Inc. (UBER), within the framework of the Act no 4054 on the Protection of Competition and the Communiqué Concerning the Mergers and Acquisitions Calling for the Authorization of the Competition Board, no 2010/4.
The application made by the transaction parties noted that 85% of TRENDYOL GO shares would be acquired by UBER, with TRENDYOL having a 15% share in the company. Accordingly, sole control over TRENDYOL GO would be acquired by UBER following the transaction.
The relevant application was discussed in the Competition Board meeting dated 15.05.205 and the Board decision numbered 25-19/451-231 was taken, authorizing the transaction since it would not result in a significant lessening of effective competition within a market for goods or services in the entirety or a portion of the country, particularly in the form of creating or strengthening a dominant position, under the framework of Article 7 of the Act no 4054.
