The acquisition of CARREFOURSA by A101 conditionally authorized (6.8.2026)

The Competition Board (the Board) has conditionally authorized the acquisition by Yeni Mağazacılık AŞ (A101) of the sole control of Carrefoursa Carrefour Sabancı Ticaret Merkezi AŞ (CARREFOURSA) with the decision dated 30.07.2026 and numbered 26-27/789-331 within the framework of the commitment package submitted by A101 including both behavioral and structural commitments. 

The decision determines that the transaction is an acquisition subject to authorization according to article 7 of the Act No. 4054 on the Protection of Competition (the Act No. 4054) and the Mergers and Acquisitions Communiqué No. 2010/4 and includes the evaluation that as a result of the transaction, effective competition in the “FMCG organized retailing” market might be significantly restricted.

However, concluding that the commitments submitted by A101 are sufficient, appropriate and proportional for eliminating the competitive concerns detected and they are quickly realizable, the Board authorized the transaction subject to conditions.

The commitments accepted regarding the competition concerns set out under the scope of the file are given below.

  1. Divestiture of a total of 48 stores where competitive concerns have been detected as a result of the transaction: Of the stores to be divested, ten will be from the stores of A101 and 38 will be from the stores of CARREFOURSA.
  2. Protection of CARREFOURSA’s independent organization structure: As a result of the transaction, CARREFOURSA will continue to operate under a separate organization structure from A101, the managers and employees responsible for day-to-day commercial activities of each company will be separate.
  3. Protection of employment: Within three years following the closure of the transaction, the necessary reasonable efforts will be made to protect and increase, as much as possible, the total level of employment under the body of A101 and CARREFOURSA.
  4. Supporting SMEs and local producers/suppliers: For three years, in each calendar year, at least 75 SMEs or local producers/suppliers will be supported under the scope of “SME and Local Supplier Support Program”. These undertakings will be provided with support in the areas of in-store visibility, display, marketing, digital and social media, catalog, data analytics and customer relationship management, in addition, primarily, continuous improvement and cooperation mechanisms will be established in online sales channels.  Moreover, special attention will be given to the inclusion of women producers and entrepreneurs in the program.
  5. Supporting local products and local agricultural products:  To support and protect the sustainability of local products and to enhance their visibility among consumers, an integrated communication and positioning strategy will be implemented under an “umbrella brand” approach.

Those commitments, which form the basis of the authorization decision, are binding and in case of a violation of those commitments, daily administrative fines will be imposed according to article 17 of the Act No. 4054.
