The investigation conducted to determine whether EssilorLuxottica S.A. (ESSI-LUX) violated articles 4 and 6 of the Act No. 4054 on the Protection of Competition (the Act No. 4054) was concluded upon the Competition Board’s acceptance of the commitments submitted by the undertaking, rendering them binding.
The commitments submitted by ESSI-LUX was accepted and rendered binding for ESSI-LUX by the decision of the Competition Board dated 23.09.2026 and numbered 26-35/980-414.
The commitments submitted by ESSI- LUX are as follows:
- EssilorLuxottica S.A. undertakes, for a period of three years, not to offer ATASUN discounts that are different from those offered to other opticians in Türkiye on the sale of branded sunglasses and branded optical frames.
- EssilorLuxottica S.A. undertakes, for a period of three years, to continue not to design periodic campaigns it will organize in relation to the sale of branded sunglasses and branded optical frames on conditions that are suitable for only ATASUN’s participation and not to favor ATASUN compared with its retail competitors in this way.
- EssilorLuxottica S.A. undertakes, for a period of two years, to limit the term of glass purchase commitment contained in the package agreements involving the sale of ophthalmic lenses and lens cutting machines together offered to opticians in Türkiye to a maximum of 18 months.
- EssilorLuxottica S.A. undertakes, for a period of two years, to include in the agreements it will sign with opticians in relation to the sale of ophthalmic lenses an express provision stating that opticians are not required to purchase exclusively from EssilorLuxottica S.A.
- EssilorLuxottica S.A. undertakes, for a period of two years, not to provide discounts on the purchase of contact lenses under the new agreements it will make in relation to the sale of ophthalmic lenses.
- EssilorLuxottica S.A. undertakes, for a period of three years, to continue not to share with ATASUN the data concerning ATASUN’s competing opticians which it obtains through the lens counters in lens cutting machines.
